Schneider Electric to Acquire PTC for 22.6 Billion USD
Schneider Electric announced it will acquire PTC for 22.6 billion USD in cash, expanding its industrial software and artificial intelligence portfolio. The deal values PTC at 205 USD per share, representing a premium of more than 40 percent to its closing price on the previous trading day. The transaction is expected to close in the third quarter of 2027. Schneider Electric, a French industrial conglomerate, will finance the acquisition with a bridge loan arranged by Morgan Stanley and BNP Paribas. PTC provides software solutions for product design, manufacturing and service across multiple industries and has been benefiting from growing demand for artificial intelligence tools.
The acquisition follows Schneider Electric's recent purchases of Cognite for 3.1 billion USD and Shelly Group SE for 1.2 billion EUR. The company's chief executive Olivier Blum said the firm seeks to grow through both organic expansion and strategic acquisitions of high‑quality technology firms. PTC's stock has declined about 30 percent over the past 12 months, reducing its market value to approximately 15.6 billion USD. Schneider Electric's market capitalization stands at about 175 billion EUR. The deal reflects a broader trend of industrial companies investing in artificial intelligence and automation to modernize factories and improve efficiency.
Competitors such as Siemens are also strengthening their positions in the factory automation and industrial AI markets. The acquisition is positioned to accelerate Schneider Electric's growth in data center infrastructure and related products.
